1. INDEPENDENCE
Those who advise on Life Assurance, Pensions or Unit Trust products are either independent, offer products from the whole of market or from one or more Companies.
Your Financial Planner is a representative of North Laine Financial Management Ltd which is independent and offers products from the whole market. This means that he or she can advise on any financial product or financial solution and is not restricted to one company or marketing group. Your Financial Planner will act on your behalf in advising you on Life Assurance, Pensions, authorised Unit Trusts, PEPs, OEICS, ISAs, non readily realisable Investments, Enterprise Investment schemes and other investment products.
North Laine Financial Management Ltd may also advise on non-investment products and solutions. These may include, but are not limited to, protection products, term assurance and other financial arrangements.

2.OUR SERVICE
2.1 We will work with you to establish your financial objectives and then construct a financial plan that is designed to help you achieve your goals.
2.2 Once your plan is in place we recommend it is reviewed on a regular basis and in particular if there are changes in your personal circumstances.
2.3 We will provide advice based on the information supplied to us by you, product providers, professional representatives and other third party advisers and cannot be held responsible if the information provided is subsequently shown to be incorrect or incomplete.
2.4 In addition to making calls at your express invitation, we may contact you from time to time.
2.5 Any recommendations made will take into account your stated investment objectives, attitude to risk and any restriction you may wish to place on the type of investment or the markets in which investments are to be made. Full details will be provided in writing at the time of the recommendation.
2.6 We shall use all reasonable care and skill in providing advice to you, but are not responsible for the future performance of any investments you may purchase as a result of our recommendation.
3. REMUNERATION
3.1 To protect the impartiality of our advice we undertake work on a fee basis as per the scales detailed in Appendix 1, unless otherwise agreed in writing. Any variation or alteration in the amount or basis of the fees payable will be provided by written notice from time to time. We do not receive initial commission on the purchase of a product by you, save in exceptional circumstances where agreed between us in writing.
3.2 Invoices for any work carried out will be raised at pre agreed stages or on a monthly basis, as appropriate. The North Laine Financial Management Ltd accounts department raises these invoices and payment will become due within 14 days from the date of the invoice. We reserve the right to charge interest on any overdue accounts at 3% above the Bank of England base rate.
3.3 We may also receive mortgage procuration fees, fund or premium based renewal commission and/or indexation commission from product providers and institutions. Such commission and fees are retained by us and will not be offset against our fees.
3.4 If we derive initial commission in respect of any financial product or financial solution, which we have agreed can be offset against the fee payable, we shall tell you the amount payable to us. If the amount of commission exceeds the fees payable, we will retain the excess although we may at our discretion give you a discount against fees due for any future work we may do for you.
3.5 Where the fees are substantial we offer two additional options for payment:
50% immediately with the remainder payable in three monthly instalments.
We may agree for you to effect an arrangement whereby our fees are accounted for by initial commission from a product provider or other institution. This method of payment is offered as a concession. The concession is only valid for a limited period of time to avoid unnecessary costs, and the paperwork going out of date. The time scale will be conveyed by your Financial Planner.
If we do not receive the necessary requirements to submit the proposal that would otherwise generate a commission payment within the concession time period, then we reserve the right to invoice you immediately for the full amount of the fees payable and this concession will have fallen away.
If as a consequence of you:
a) exercising your right to cancel the contract in accordance with the cancellation notice issued by the product provider; or
b) ceasing to pay premiums;
we are obliged to refund any commission, then the amount of commission to be repaid shall be payable to us by you immediately and will be subject to interest in accordance with clause 3.2 above.
4. ADMINISTRATION
4.1 North Laine Financial Management Ltd undertakes not to transact for you any business in which they or one of their other customers has a personal interest unless that interest has previously been disclosed in writing to you and you have given your consent to proceed.
4.2 Written instructions will normally be required before we will arrange or apply for any investment, insurance or pension arrangement for you but at our discretion, verbal instructions may also be acceptable but must be followed up in writing.
4.3 This Agreement may be terminated by either of us at any time without penalty and without prejudice to the completion of transactions already initiated on your behalf. You may terminate this Agreement at any time by giving us notice in writing, to take effect immediately or at the time specified in your notice. If we terminate this Agreement we shall give you reasonable notice save where we have a valid reason for terminating the Agreement with immediate effect, in which case we will give you as much notice as possible. You will be liable to pay for any work undertaken prior to termination and any fees outstanding will be payable immediately.
4.4 All investments will be registered in your name unless otherwise agreed in writing. All contract notes and documents of title in respect of investments will be forwarded to you as soon as practicable after we receive them. Where a number of documents relating to a series of transactions are to be received, we may choose to hold each document until the series is complete before forwarding them to you.
4.5 You or your agent have the right to inspect or we will supply on demand subject to payment of a small fee, copies of Contract Notes, Vouchers and copies of entries in books or electronic recording media relating to your transactions. We undertake to maintain such records for a period of at least six years from the date of each transaction.
4.6 We are not authorised to handle clients money. All cheques received must be payable to the insurance/investment group or product provider for the business to be transacted within the rules of the Financial Services Authority. We never accept cheques made out to us unless it is a cheque in settlement of charges for which we have sent you an invoice. Under no circumstances should cheques be made payable directly to your Financial Planner or other third party.
4.7 Data Protection Act 1998. We will use information (including any sensitive personal information) relating to you in the provision of financial planning services and solutions. Subject to compliance with certain security measures and obligations with regard to personal data, imposed by the 7th Data Protection Principle of the Data Protection Act 1998, in signing this document, you consent to us and our agents, processing and disclosing information for the purposes of the provision of financial planning services and solutions to you under the terms of this Agreement. Such information shall only be disclosed to such of our agents who need to know the information for the purpose of providing the services to you under this Agreement and for checking our own compliance with FSA rules and our business monitoring procedures.
4.8 We are not authorised or qualified to give legal advice or to create legal documents for you.
4.9 We may vary the terms of this Agreement at any time by giving you 14 days' notice in writing of the proposed change.
5. DISPUTES
5.1 If you should have any complaint about the advice you receive or a product which you have bought, please write to The Compliance Director, North Laine Financial Management Ltd, First Floor 100 Church Road Hove East Sussex BN3 2EB Tel: 01273 771111 A copy of our Complaints Handling Procedure is available on request. If you are not satisfied with our handling of your complaint, you may subsequently refer the matter to the Financial Ombudsman Service, details of which will be given to you at that time.
5.2 If you make a valid claim against us in respect of investments we arranged or bought or sold for you and we are unable to meet our liabilities in full, you may be entitled to redress from the Financial Services Compensation Scheme (‘FSCS’). Details of the cover provided by the FSCS are given in a leaflet, which we will send you at your request. Further information is available from the Financial Services Authority and FSCS.
5.3 This Agreement is governed by the Laws of England and Wales.
I/We hereby confirm acceptance of this Agreement and the keyfacts document 'about our services' and acknowledge that any advice given by you or transactions carried out on my/our behalf by you shall be in accordance with the terms of this Agreement and the information contained in the keyfacts documentation. I/we hereby consent to the disclosure of my/our personal data (including sensitive personal information to North Laine Financial Management Ltd’s agents for the purposes set out in clause 4.7 above
